TERMS OF USE –PropNexus

1. Introduction:
These Terms of Use (“Terms”) govern the access to and use ofthe PropNexus platform (“Service”) provided by PropDynamics OÜ (“Provider”,“we”, “us”, or “our”).By accessing or using the Service, you (“Client”, “you”)
agree to be bound by these Terms.
2. Scope of Service: PropNexus is a software solution built on Microsoft Dynamics365, Microsoft Power Platform, and Microsoft Azure, designed to supportoperational management of property portfolios.The Service may be delivered
as: a marketplace subscription a licensed solution deployed into a client environment or as part of a broader implementation engagement
3. License Grant: The Provider grants the Client a limited, non-exclusive,non-transferable license to use the Service for internal business purposes.The Client may: access and use the Service within agreed usage limits allow authorized
users to access the ServiceThe Client may not: sublicense, resell, or redistribute the Service reverse engineer or attempt to extract source code use the Service outside agreed scope
4. Ownership and Intellectual Property: All rights, title, and interest in the Service remain theexclusive property of the Provider.The Client retains ownership of its own data.The Provider may use anonymized and aggregated
data toimprove the Service.
5. Customer Responsibilities: The Client is responsible for: maintaining valid licenses required to operate the Service (e.g., Microsoft licenses) ensuring authorized use of the Service compliance with applicable laws and regulations
6. Pricing and Payment: Pricing for the Service may be: subscription-based (e.g., per unit / per user / per environment) usage-based or agreed separately in commercial agreementsFor marketplace transactions: billing is handled via
Microsoft Marketplace Microsoft may act as billing agentAdditional services (implementation, customization, support)may be contracted separately.
7. Support and Maintenance: Support and maintenance are provided: as defined in a separate agreement, or according to the applicable service level for the subscription. The Provider is not responsible for issues
caused by: third-party modifications incorrect configuration outside Provider control
8. Availability and Service Levels: The Service is provided on a commercially reasonable effortbasis. The Provider does not guarantee uninterrupted or error-freeoperation.
Downtime may occur due to: maintenance third-party services (including Microsoft platforms)
9. Data Protection and Privacy: The Provider processes data in accordance with its PrivacyPolicy.The Client remains the data controller for its data. The Provider acts as a data processor where applicable.
10. Limitation of Liability: To the maximum extent permitted by law:The Provider shall not be liable for: indirect or consequential damages loss of profits, data, or business. The total liability of the Provider shall not exceed:
the amount paid by the Client for theService in the preceding 12 months
11. Warranties Disclaimer: The Service is provided “as is” and “as available”. The Provider makes no warranties regarding: fitness for a particular purpose uninterrupted operation accuracy of outputs
12. Term and Termination: These Terms apply for the duration of the Service use. Either party may terminate: for material breach (with notice and cure period) or in accordance with subscription termsUpon termination: access to the

13. Marketplace Relationship: If the Service is purchased through Microsoft Marketplace: Microsoft is not a party to these Terms. These terms govern the relationship between Client and Provider Microsoft.

14. Changes to Terms: The Provider may update these Terms from time to time. Continued use of the Service constitutes acceptance ofupdated Terms.
15. Governing Law: These Terms shall be governed by the laws of Estonia.
